Legal Counsel

Job Description:
The Legal Counsel will advise on a variety of legal topics and manage complex matters with multiple stakeholders. This role includes corporate, commercial, privacy, regulatory, and digital law responsibilities.

Key Responsibilities:

Corporate and Commercial Transactions:

• Lead legal aspects of corporate structuring, including incorporation of new entities and joint ventures in key markets.

• Draft, review, and negotiate commercial agreements, including distributor agreements, inventory contracts, and lease agreements.

• Provide oversight on distributor relations, including renewals, terminations, and dispute resolution.

• Manage legal workstreams for strategic projects, office relocations, and closing of business entities in compliance with local regulations.

Privacy and Data Protection:

• Ensure compliance with privacy and data protection laws across the Middle East, North and Sub-Sahara Africa.

• Advise on data transfer requirements and amend regional agreements for privacy provisions.

• Support the global privacy team in reviewing and localizing privacy notices for customers, employees, and third parties.

• Provide legal guidance during data breaches, ensuring compliance with notification and regulatory requirements.

Regulatory Compliance and Risk Management:

• Analyze and advise on complex regulatory issues across the region.

• Apply risk management techniques and provide proactive legal advice on business operations.

• Collaborate with management to devise strategies for compliance and defense.

• Monitor legislation changes in the Middle East, North and Sub-Sahara Africa to maintain compliance.

Digital and Technology:

• Review and advise on terms and conditions for digital products and applications.

• Assist the privacy team in developing and reviewing privacy notices for mobile applications.

Qualifications:

• Law degree (J.D., LL.B., or equivalent) from an accredited institution with an active license to practice law.

• Minimum of 2–4 years of relevant legal experience in a top-tier law firm or as in-house counsel in a multinational corporation.

• Proven experience in corporate and commercial law in the MENA region, preferably with GCC experience.

• Excellent knowledge of corporate law, data privacy regulations, and commercial procedures.

• Outstanding negotiation, communication, and interpersonal skills.

• Ability to analyze complex situations, provide sound judgment, and manage multiple projects with competing deadlines.

• صياغة ومراجعة والتفاوض على العقود التجارية، بما في ذلك عقود الموزعين، عقود إدارة المخزون، وعقود إيجار المكاتب والمنشآت التشغيلية.

• متابعة علاقات الموزعين، بما في ذلك التجديدات، إنهاء العقود، وحل النزاعات المتعلقة.

• دعم فريق الخصوصية العالمي في مراجعة وتوطين إشعارات الخصوصية للعملاء والموظفين والأطراف الثالثة.

• تقديم التوجيه القانوني في حالة حدوث خرق بيانات لضمان الامتثال لجميع متطلبات الإشعار والتنظيم.

الامتثال التنظيمي وإدارة المخاطر:

• تحليل وتقديم المشورة بشأن القضايا التنظيمية المعقدة في المنطقة.

• تطبيق تقنيات إدارة المخاطر وتقديم استشارات قانونية استباقية بشأن العمليات التجارية.

• التعاون مع الإدارة لتطوير استراتيجيات فعالة للامتثال والدفاع.

القانون الرقمي والتقني:

المؤهلات:

• درجة قانونية (J.D، LL.B، أو ما يعادلها) من مؤسسة معتمدة مع رخصة ممارسة قانونية سارية.

• خبرة قانونية لا تقل عن 2–4 سنوات في مكتب محاماة مرموق أو كمستشار قانوني داخلي لشركة متعددة الجنسيات.

• خبرة مثبتة في القانون التجاري والشركات في منطقة الشرق الأوسط وشمال إفريقيا، ويفضل من لديهم خبرة مباشرة في دول مجلس التعاون الخليجي.

• معرفة ممتازة بالقانون التجاري، قوانين الخصوصية، وإجراءات الأعمال.

• مهارات تفاوض واتصال ممتازة، وقدرات تحليلية عالية لإدارة مشاريع متعددة بمهل زمنية متنافسة.
